Commercial policy
These are the General Terms and Conditions of Contracting of Control Digital de Procesos S.L. hereinafter Codipro, with registered office at Avenida de Pío XII 15, Pilas, Seville, with Tax ID number B41953407, registered on 21 December 1998 on page 70 of volume 2,794 of the General Companies Register, sheet number SE-35.142, entry 1 of the Commercial Registry of Seville.
VALIDITY AND DEFINITION
These General Terms and Conditions of Contracting shall exclusively govern all contracts for the sale and purchase of products or services between Codipro and its clients, except those entered into online through the e-commerce platform of its website, and without prejudice to any express written agreement to the contrary between the parties.
In all cases, it shall be understood that the client, by purchasing a product or service from Codipro, accepts these General Terms and Conditions of Contracting by that same act.
CONTRACT PREPARATION
By sending the corresponding order, the client shall submit to Codipro their offer to purchase products or services. Once an order has been received, Codipro shall accept the client’s offer by sending the corresponding acknowledgement of receipt as soon as possible. Until the acknowledgement of receipt is in the client’s possession, Codipro reserves all rights to accept or reject any order it may have received.
The acknowledgement of receipt shall contain a summary of the order, including, in all cases, the essential characteristics of the good or service, the price, basic delivery details, in particular the approximate date and place, and applicable costs, as well as, where applicable, the unavailability of any product.

Codipro shall adopt the necessary technical measures so that the client may, in all cases, print or save the information contained in the acknowledgement of receipt.
From that moment onwards, the client may request information from Codipro by any means regarding the status of their order, provided that the nature of the good or service allows it.
QUOTATIONS AND COSTS
Unless otherwise stated, the validity of Codipro’s written quotations shall extend for a period of thirty days from their date.
Once this period has expired, or in the absence of a written quotation, the prices and other costs shall be those established by Codipro on the date on which the client places their order.
The prices shown in the catalogue and on the website, especially on the e-commerce platform, do not include transport unless expressly indicated. Codipro shall offer the option of insured transport and shall be exempt from any responsibility for replacing materials in the event of loss or damage during transit between our warehouses and the delivery location specified by the client.
The prices and sales conditions are for information purposes only and may be modified according to market fluctuations. However, placing an order by completing the purchase form implies acceptance of the quoted price and the general sales conditions in force at that specific moment. Once the order has been formalised, the purchase shall be considered fully completed by law, with all the legal guarantees protecting the purchasing consumer, and from that moment the prices and conditions shall have contractual status and may not be modified without the express agreement of both contracting parties.
The prices shown do not include the legally applicable Value Added Tax, VAT, and are indicated in euros. Unless expressly stated otherwise, the prices shown do not include shipping costs.
LANGUAGE OF THE TRANSACTION
The language chosen for the formalisation of the sale is Spanish.
PAYMENT METHODS
The following payment methods are offered: bank transfer, credit/debit card, PayPal and payment through financing. All these methods involve a payment obligation for the order placed by the client.
If bank transfer is selected, the client will be provided by email with the bank account details to which the transfer must be made.
CARD PAYMENT
We offer payment by Visa and MasterCard. This process is completely external to codipro.com and takes place in a fully secure environment managed by REDSYS. The data relating to the client’s credit card is encrypted using the SSL security protocol and sent directly to the corresponding financial institution, which is responsible for processing and accepting or rejecting the payment. Therefore, the only parties that know the card details are the client, their bank and REDSYS. codipro.com does not have access to such data and only receives payment confirmation from REDSYS.
PAYMENT THROUGH FINANCING
The conditions for payment through the financing system offered by GRENKE are set out in the contract that the financial institution will establish with the client.
GUARANTEES
All materials sold in our online store benefit from the legal guarantee of conformity, the legal guarantee against hidden defects and Codipro’s guarantee. Directive 1999/44/EC of the European Parliament and of the Council, of 25 May 1999, on certain aspects of the sale of consumer goods and associated guarantees, shall apply.
To exercise the guarantee, the buyer must contact Codipro through the contact form on its website, indicating the order number, invoice number and clearly describing the problem. Codipro shall contact the buyer as soon as possible to offer the solution that best suits their case.
If a repair is required, the shipping costs for sending the item to Codipro’s warehouses shall be borne by the client. However, if the legal guarantee of conformity applies to the returned item or items, all costs arising from this return shall be reimbursed to the client.
Legal guarantees shall not apply, or shall apply only partially, to the repair of any damage resulting from a cause external to the device, for example accident, impact, lightning strike or power issues, or from incorrect handling by the client, for example use or installation not in accordance with the manufacturer’s specifications or use that is harmful to the proper functioning of the device.
The repair process under guarantee is carried out in the following stages:
Notification of the fault by email to info@codipro.com. Once the notification has been studied, Codipro’s technical service will contact the client in writing or by telephone to try to solve the problem without the need to send the equipment.
Shipment of the equipment by the client. Once the first-level incident resolution channels have been exhausted, the equipment shall be sent to Codipro after requesting the corresponding RMA number. Once received, Codipro’s technical team shall inspect the equipment and check the possible fault.
Shipment to the manufacturer and return to the client. After checking the equipment fault and verifying the condition of the warranty seals, Codipro shall send the equipment to the manufacturer together with the necessary documentation and descriptions in the language designated by the manufacturer. Shipments are consolidated monthly, so several days may pass before the equipment is sent to the manufacturer. Once repaired or replaced, the unit is sent to Codipro and immediately forwarded to the client.
Codipro offers its clients the possibility of contracting extended guarantee services for certain equipment, allowing them to have replacement equipment available in the event of a fault.
If, during the inspection of the equipment, manipulation by the client is detected and this has caused failure or malfunction due to configuration errors, Codipro shall invoice the client the amount of 30 euros plus VAT for the time spent checking and resolving the fault. Payment of this amount must be made before Codipro returns the equipment to the client.
EXTENDED GUARANTEE SERVICES
Codipro offers its clients the possibility of contracting an extended guarantee service for specific equipment.
EQUIPMENT REPLACEMENT GUARANTEE SERVICES
In order to avoid delays in resolving faults and to maintain the highest level of operational availability in the client’s equipment, Codipro offers the possibility of contracting replacement guarantee services for specific equipment. This service consists of the immediate replacement of the equipment sent with the corresponding RMA.
Through this service, Codipro undertakes to keep in stock equipment of equal or higher category than that contracted by the client, for immediate shipment once the faulty equipment has been received.
The Replacement Guarantee Service must be contracted at the time of purchase, specifying on the invoice the serial numbers of the equipment included in the contract.
The Replacement Guarantee may only be applied simultaneously to as many units as were contracted at the time of purchase. In other words, if the client contracts the replacement guarantee for one piece of equipment, they may only send one of the devices listed on the invoice under this modality; if they contract two, they may send two devices simultaneously, and so on.
In the case of equipment less than one month old, Codipro shall send a new unit of equal or higher category as replacement equipment. If the equipment is more than one month old, Codipro shall send a unit of equal or higher category, which may have been used previously.
AFTER-SALES SERVICE
Codipro offers its clients the following paid after-sales service options:

CUSTOMER SERVICE
For the resolution of queries, incidents or complaints related to orders, or to the products or services purchased, Codipro makes its Customer Service Department fully available to clients through the email address atcliente@codipro.com
In the event of a request for product repair under guarantee, the procedure shall be carried out in accordance with the provisions relating to guarantees.
In the event of other requests, and particularly complaints, the client shall first contact our Customer Service Department, which shall process the request within a maximum period of 2 working days from receipt. If our Service is unable to provide the client with a solution within that period, it shall inform the client accordingly and set an additional period of 10 working days for this purpose. If the client is not satisfied with the solution proposed by Codipro, they shall be fully entitled to escalate the complaint to the conflict resolution bodies referred to in these General Terms and Conditions.
For greater assurance for its clients, Codipro shall archive the file containing the main incidents relating to each of the complaints received.
RIGHT OF WITHDRAWAL
You have the right to withdraw from this contract within a period of 14 calendar days without giving any reason.
The withdrawal period shall expire 14 calendar days from the day on which you, or a third party indicated by you other than the carrier, acquired material possession of the last of those goods.
To exercise the right of withdrawal, you must notify us, Control Digital de Procesos S.L., Avd. Pío XII, 15b, Pilas, Seville, telephone 954 751 696, email info@codipro.com, of your decision to withdraw from the contract by means of an unequivocal statement, for example a letter sent by post, fax or email, including your name, full address, telephone number and email address.
To meet the withdrawal deadline, it is sufficient for the communication concerning your exercise of this right to be sent before the corresponding period expires.
The right of withdrawal shall not apply to contracts relating to:
The supply of goods or the provision of services whose price depends on fluctuations in the financial market that the business owner cannot control and that may occur during the withdrawal period.
The supply of goods made according to the specifications of the consumer and user or clearly customised.
The supply of goods that may deteriorate or expire quickly.
The supply of goods which, after delivery and taking into account their nature, have been inseparably mixed with other goods.
CONSEQUENCES OF WITHDRAWAL
In the event of withdrawal by you, we shall reimburse all payments received from you, including delivery costs, with the exception of additional costs resulting from your choice of a delivery method other than the least expensive standard delivery method offered by us, without undue delay and, in any case, no later than 14 calendar days from the date on which we are informed of your decision to withdraw from this contract. We shall make such reimbursement using the same means of payment that you used for the initial transaction, unless you have expressly provided otherwise; in any case, you shall not incur any fees as a result of the reimbursement. We may withhold the reimbursement until we have received the goods or until you have provided proof of their return, whichever condition is met first.
You must return or deliver the goods directly to us or to Codipro’s offices located at Avd. de Pío XII, 15b, Pilas, Seville, without undue delay and, in any case, no later than 14 calendar days from the date on which you inform us of your decision to withdraw from the contract. The deadline shall be deemed to have been met if you return the goods before that period has ended.
You must bear the direct cost of returning the goods. You shall only be liable for any decrease in the value of the goods resulting from handling other than that necessary to establish the nature, characteristics and functioning of the goods.
COMPREHENSIVE NETWORK MANAGEMENT SERVICE
Codipro offers its clients the possibility of contracting a global maintenance service covering telephone support, parts, labour and travel. The conditions of said contract shall be set out in the contract itself and the cost shall depend on its duration, the equipment installed, distances and the type of service provided by the equipment.
PROMOTIONAL ACTIONS, RAFFLES AND CONTESTS POLICY
Types of promotional actions:
Codipro shall carry out different types of promotional actions as part of its commercial/promotional activity:
Raffle: The winner is chosen at random based on a random combination. Electronic platforms may be used to select the winner in some raffles. In this case, the company shall expressly state that the promotional action is a “raffle”; otherwise, the type of action shall be considered a contest.
Contest: The winner is chosen based on merits by a jury or vote. The merits may differ for each promotional action, such as turnover, purchase volume, order period, game winner, etc.
Direct gifts: The recipient or recipients of the gift or gifts may be chosen directly as a result of a commercial transaction or any other type of action.
Who is it aimed at?
All our promotional actions are aimed at professionals in the telecommunications sector or related sectors. The beneficiaries may be end clients, distributors, intermediaries, installers or similar profiles.
Codipro reserves the right to exclude from participation any registration profile it considers unsuitable, false, suspicious or outside its commercial interest.
Duration of promotional actions:
Most promotional actions shall be marked with their own duration period. However, some actions may be focused on merits, success, stock availability, etc., and may not have a predetermined end date.
Personal data processing: Participation in one of the commercial actions entails consent to the acceptance of our general data protection policy. The name or names of the winners or participants may be published on our online platform or platforms to communicate the resolution of the promotional actions.
